How it works

From template to first closing

The template handles the document. You bring the deal terms, your attorney reviews, and we file with the SEC and the states.

  1. Choose your template

Match your entity, the securities you’re selling and the exemption you’ll rely on.

  2. Fill in the blanks

Every deal-specific item is marked, like [OFFERING AMOUNT]. Replace each one with your terms, business details and risks.

  3. Review with counsel

Have a securities attorney review the completed documents before you share them with investors.

  4. File Form D and state notices

We file your Form D with the SEC and your notices with each state. Both are generally due within 15 days after your first sale.

Questions

Before you start

Do I need an attorney to use a PPM template?

No law requires one, but we strongly recommend it. A securities attorney can review your completed documents for your specific facts and state requirements in far less time than drafting from scratch. Mistakes in a private offering can give investors the right to demand their money back.

Which exemption should I choose: 504, 506(b) or 506(c)?

Choose Rule 506(c) if you want to advertise publicly and can verify that every investor is accredited. Choose Rule 506(b) if you will raise from people you already know without advertising. Rule 504 caps the raise at $10 million and requires state registration or a state exemption in each state where you sell. Compare the exemptions.

Can I raise from investors outside the United States?

Yes. Every structure has a Regulation S template for offerings sold only to non-U.S. investors outside the United States. Regulation S offerings don’t file Form D or state notices. How Regulation S works.

What does Form D filing include?

Every kit includes Form D filing: we prepare the notice from your offering details and file it on EDGAR for you. Form D is generally due within 15 calendar days after your first sale, and the SEC charges no filing fee. How Form D filing works.

Are state filing fees included in the kit price?

No. States charge their own notice filing fees, which vary by state and sometimes by offering size. Those fees are paid to the states and are separate from kit prices.

Can I see a template before I buy?

Yes. Preview sample pages for each type of PPM, from corporation common stock to real estate syndications.
