When a limited partnership fits
The limited partnership is the classic structure for investment funds, real estate programs and oil and gas ventures. A general partner manages the business, and limited partners contribute capital and stay passive. Limited partners generally aren’t liable beyond their investment, while the general partner carries management responsibility, which is why sponsors often form the general partner as its own LLC.
Like an LLC, a limited partnership is taxed as a partnership. Partners receive a Schedule K-1 each year, and the partnership agreement sets distributions, the general partner’s compensation and the limits on limited partners’ rights. The templates summarize the partnership agreement so investors understand what they’re signing.
